These Terms and Conditions ("Terms") govern your access to and use of our website (servicepros.tech), custom front-end websites, 24/7 AI conversational voice/text agents, reputation management workflows, and system integration services (collectively, the "Services").
By booking a Strategy Consult, subscribing to a billing plan, or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. Description of Services
We design, build, and deploy digital transformation systems for local service businesses. Our core modular services include:
- Website Build: High-performance, hand-coded business websites.
- Review Booster: Automated post-completion SMS review capture workflows.
- AI Answering: 24/7 conversational voice line receptionists and text-back assistants.
- Local Proof SEO: Location-specific landing page engines and schema injection.
- Social Media AI: Automated trade photo post and caption scheduling loops.
2. Onboarding and Client Responsibilities
- Setup Period: Standard onboarding takes approximately ten (10) business days from the receipt of the client's asset details, API keys, and Stripe payment confirmation.
- Content Provision: You agree to provide necessary business info, diagnostic pricing scales, technician scheduling boundaries, brand assets, and API keys. We are not responsible for delays caused by missing or incomplete client assets.
- Compliance: You represent that all contact details (phone numbers and emails) provided to us for automated SMS campaigns (e.g., Review Booster) consist of customers who have explicitly opted-in to receive messages from your business. You agree to comply with all applicable local, state, and federal laws regarding electronic communications (including the TCPA, CAN-SPAM, and A2P 10DLC regulations).
3. Fees, Billing, and Subscriptions
- Billing Cycles: All pricing is structured as a one-time Setup/Build Fee followed by a monthly subscription fee. Billing is handled securely through Stripe.
- Subscription Renewal: Monthly fees cover secure hosting, software licensing, system security upkeep, and conversational runtime allowances. Subscriptions renew automatically every month until canceled.
- SaaS Usage Overages: For high-volume call or SMS routing, we reserve the right to pass through carrier charges or AI usage overages as detailed in your specific service contract.
- Cancellation Policy: All plans are month-to-month. You may cancel your subscription at any time by providing a written 30-day notice via email to [email protected].
- Refunds: Due to the custom coding and API integration resource allocation involved, all Setup/Build Fees and monthly subscription payments are strictly non-refundable.
4. Proprietary Rights and Code Ownership
- Your Code & Assets: Upon full payment of the Setup/Build Fee, you own the front-end code, assets, and design layout of your custom website. We do not lock you into proprietary hosting networks, and you may export your static code files at any time.
- Company IP: We retain all rights, title, and interest in our underlying software frameworks, pre-built conversational AI training architectures, master agency system snapshots, custom API middleware, and proprietary system integrations. No transfer of ownership of these core platforms is granted under these Terms.
5. Acceptable Use Restrictions
You agree not to use our Services to:
- Route calls, send texts, or publish content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, or obscene.
- Generate spam calls, automated robocalls to unverified lists, or spam text campaigns.
- Impersonate any person or business, or misrepresent your qualifications, licenses, or trade certifications.
- Attempt to bypass, disable, or decompile any security mechanisms of our conversational voice servers.
6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall servicepros.tech, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, leads, or business opportunities, resulting from:
1. Any errors, inaccuracies, or "hallucinations" in information provided by our 24/7 AI voice or text receptionists to your customers.
2. Calendar booking conflicts, missed appointments, or dispatch sync failures between GHL and your CRM database (e.g., ServiceTitan, Jobber).
3. Fluctuations in local search engine rankings, Google Map Pack visibility, or organic web traffic.
4. Service interruptions or downtime caused by third-party hosting companies, domain registrars, or API providers (Stripe, Twilio, OpenAI).
Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to us in the three (3) months preceding the event giving rise to liability.
7. Indemnification
You agree to defend, indemnify, and hold harmless servicepros.tech and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including attorney's fees) arising from your violation of these Terms, your misuse of the Services, or your violation of any third-party rights (including TCPA regulations).
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action arising under these Terms shall be filed exclusively in the state or federal courts located in Dallas County, Texas.
